Steph Tell Coaching LLC TERMS OF USE 

This Terms of Use Agreement (“Terms of Use”) is between Steph Tell Coaching LLC and the User (“user”, “you”, “your”). These Terms of Use apply to coachwsteph.com available at 1) coachwsteph.com; and, 2) any other website or mobile application to which these Terms of Use are attached (collectively the “Sites”). By using the Sites, you agree to be bound by these Terms of Use and to use the Sites in accordance with these Terms of Use, the Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Sites or to products and services available through the Sites or from Steph Tell Coaching LLC in any manner, whether automated or otherwise, constitutes use of the Sites and your agreement to be bound by these Terms of Use.

This site and all the materials available on the Sites are the property of Steph Tell Coaching LLC and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Sites are provided solely for your personal noncommercial use. You may not use the Sites or the materials available on the Sites in a manner that constitutes an infringement of Steph Tell Coaching LLC’s rights or that has not been authorized by it. More specifically, unless explicitly authorized in these Terms of Use or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit or distribute in any manner or medium (including by email or other electronic means) any material from the Sites. You may, however, from time to time, download and/or print one copy of individual pages of the Sites for your personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices.

The Digital Millennium Copyright Act

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under the U.S. copyright law. If you believe in good faith that materials hosted by Steph Tell Coaching LLC infringe your copyright, you, or your agent may send to Steph Tell Coaching LLC a notice requesting that the material be removed or access to it be blocked. LIMITATION OF LIABILITY

In no event shall Steph Tell Coaching LLC, its contributors, authors or advisors be liable for any damages (including, without limitation, incidental and consequential damages, personal injury/wrongful death, lost profits, or damages resulting from lost data or business interruption) resulting from the use of or inability to use Steph Tell Coaching LLC, its content, or the use of any product, information, idea, service or instruction contained in the information provided on the Sites, whether based on warranty, contract, tort or any other legal theory, and whether or not Steph Tell Coaching LLC  its contributors, authors, advisors, members and affiliate organizations are advised of the possibility of such damages.

ASSIGNMENT

These Terms of Use shall be binding upon and insure to the benefit of Steph Tell Coaching LLC and its respective assigns, successors, heirs, and legal representatives. Neither these Terms of Use nor any rights hereunder may be assigned without the prior written consent of Steph Tell Coaching LLC. Notwithstanding the foregoing, all rights and obligations under these Terms of Use may be freely assigned by Steph Tell Coaching LLC to any affiliated entity or any of its wholly-owned subsidiaries.

GOVERNING LAW

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York and any dispute shall be subject to binding arbitration in New York City, New York. If any provision of these Terms of Use shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.

CHANGES IN Steph Tell Coaching LLC TERMS OF USE

Steph Tell Coaching LLC reserves the right to make changes to these Terms of Use at any time and for any reason without prior notice. Any changes to these Terms of Use will be posted on this page so that you are always aware of Steph Tell Coaching LLC current Terms of Use. It may also contact you by email with changes. Additionally, it will update the “last updated” date below.
